Welcome to DropStack. These Terms of Service ("Terms") govern your access to and use of the services provided by DropStack, LLC ("DropStack," "we," "us," or "our"), including our website (https://dropstack.org), and our cap table management and 409A valuation software (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Service Scope and Use
DropStack provides a software-as-a-service platform for managing company capitalization tables, administering equity plans, generating 409A valuation reports, and related functionalities. You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring the accuracy and legality of all data you input into the Service, including shareholder information, equity grants, and corporate documentation.
2. Billing, Payment, and Renewal
Access to our Service requires a paid subscription. Billing occurs on a recurring monthly or annual basis, as selected by you during sign-up. By providing a payment method, you authorize us to charge your subscription fees automatically upon renewal. All payments will be processed by our third-party payment processor (Stripe, Inc.). The billing descriptor that appears on your payment method statement will be "DROPSTACK". You are responsible for keeping your payment information current.
3. Account and Affirmative Consent
To use the Service, you must register for an account. By completing the registration process and clicking "Create Account" or a similar button, you are providing active, affirmative consent to these Terms and our Privacy Policy. This action constitutes a binding legal agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to misuse the Service or help anyone else to do so. This includes, but is not limited to: probing, scanning, or testing the vulnerability of any system or network; breaching or otherwise circumventing any security or authentication measures; accessing, tampering with, or using non-public areas of the Service; interfering with or disrupting any user, host, or network; or using the Service for any fraudulent, illegal, or unauthorized purpose.
5. Dispute Resolution and Governing Law
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New Castle County, Delaware. These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
6. Limitation of Liability
To the maximum extent permitted by law, DropStack, LLC, its affiliates, and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.

We also collect information automatically, such as IP address, browser type, and usage data, through logs and analytics tools.
2. Data Storage and Security
Your data is our highest priority. All data, including customer-uploaded documents and cap table information, is encrypted at rest using AES-256 encryption. Our infrastructure is hosted in secure data centers located within the United States, operated by Amazon Web Services (AWS), which are SOC 2, ISO 27001, and PCI DSS compliant. Data is also encrypted in transit using TLS 1.2 or higher.
3. Third-Party Processors
We use a limited number of trusted third-party services to help us provide and improve the Service. These processors are contractually obligated to protect your data. Key subprocessors include: Stripe (for payment processing), Amazon Web Services (for hosting and infrastructure), Postmark (for transactional emails), and Plausible Analytics (for privacy-friendly website analytics). We do not and will not sell your personal or company data.
4. Cookies and Tracking

We retain your data as long as your account is active or as needed to provide you with the Service. If you choose to cancel your account, we will retain your data for a grace period of 90 days before it is permanently deleted from our production systems. Refund Policy

We offer a 30-day money-back guarantee on all new subscriptions. If you are unsatisfied with our Service for any reason within the first 30 days of your initial subscription, you are eligible for a full refund. This policy is designed to give you peace of mind and confidence in choosing DropStack.
1. Eligibility
This 30-day money-back guarantee applies only to the initial subscription purchase for a new account. It does not apply to subscription renewals, upgrades, or fees for additional services such as standalone 409A valuation reports that have already been delivered.
2. How to Request a Refund
To request a refund, please send an email to support@dropstack.org within 30 calendar days of your subscription start date. Please include your company name and the email address associated with your account. No other form of refund request will be accepted.
3. Refund Processing
Once we receive your request and confirm your eligibility, we will process the refund. The refund will be issued to your original payment method. Please allow 5-10 business days for the credit to appear on your statement, as processing times can vary between financial institutions.
4. Prorated Charges and Overages
Our metered plans are based on usage metrics like the number of stakeholders. If you cancel after the 30-day refund window, your subscription will remain active until the end of the current billing cycle, and you will not be charged again. No prorated refunds are offered for partial months of service after the initial 30-day period.
5. Chargebacks
We encourage you to contact us for a refund as per the policy above. Initiating a chargeback with your bank or credit card company can delay the process and may result in the immediate suspension or termination of your account. We reserve the right to dispute chargebacks if the request is not in accordance with this policy.
6. Policy Modifications
DropStack, LLC reserves the right to modify this Refund Policy at any time. Any changes will be effective immediately upon posting to our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Refund Policy.
